Senior Corporate Counsel

Our client, an investor-owned public utility and one of the largest, most sophisticated urban water systems in the U.S. has exclusively retained McClure & Feuer to assist with their search for a Senior Corporate Counsel. This position will report to the General Counsel. The role will be remote, unless a presence at a quarterly board meeting is needed.

In this role, the Senior Corporate Counsel will provide advice on Company legal and risk management affairs, legal and regulatory compliance, business development and financing initiatives, and corporate governance and disclosure matters. The Senior Corporate Counsel will assist with Board of Director affairs, and the management of corporate records and information. Frequent contact with senior executive management, other company management, Board members, and outside counsel is expected.

Responsibilities:

  • Provide general legal advice in areas referenced above
  • Support business development and financing activities
  • Supervise corporate counsel and other legal department staff
  • Assist with management of corporate governance function
  • Assist with preparing Board and Committee meeting agendas, minutes, and related materials
  • Coordinate and assist with preparing Proxy Statement and D&O questionnaires
  • Prepare reports with SEC and NYSE
  • Oversee company Section 16 filings and related policies
  • Advise Company on pertinent legislation and regulations, including SEC regulations, and disclosure requirements
  • Coordinate and manage outside counsel

Requirements:

  • Admission to State Bar of California
  • J.D. degree
  • At least 10 years of relevant legal experience in a law firm or in-house environment
  • Prior management experience of legal, professional, or paraprofessional staff
  • Flexibility and willingness to work on a broad range of business and legal matters

Corporate Counsel

Our client, an investor-owned public utility and one of the largest, most sophisticated urban water systems in the U.S. has exclusively retained McClure & Feuer to assist with their search for a Corporate Counsel. This position will report to the General Counsel. The role will be remote subject to 1-2 days in the office over a 4-6 week period.

Responsibilities:

  • Provide general legal advice and guidance
  • Develop, draft, and negotiate contracts
  • Develop and refine contract management workflows
  • Support Company business development activities
  • Assist with Company financing initiatives
  • Support corporate secretary, risk management, and information governance functions
  • Assist with the Company’s annual shareholder meeting and the preparation of the proxy statement
  • Assist with preparing Company’s Section 16 filings
  • Draft correspondence related to internal controls and coordinate with the Company’s independent auditor
  • Coordinate on litigation matters
  • Support Company regulatory activities, including but not limited to, privacy initiatives

Requirements:

  • Admission to State Bar of California
  • J.D. degree
  • At least 5 years of relevant legal experience in a law firm or in-house environment
  • Flexibility and willingness to work on a broad range of business and legal matters
